Gentner Purchases ClearOne’s Assets

Gentner Communications Corp. intends to purchase the assets of ClearOne Inc. for $3.4 million, with a combination of cash and restricted stock.
Gentner has a wide product and service range featuring conferencing and sound reinforcement products, a nationwide conference calling service, a Webconferencing service and remote facilities management and telephone interface systems for radio stations.
ClearOne is a privately held developer and manufacturer of multimedia communications products including the ClearOne-IS intelligent speakerphone and the ClearOne-IM intelligent microphone pad.
Under the agreement, Gentner acquires the rights to ClearOne’s current product line, which Genter will begin selling immediately. Gentner also acquires the rights to all products in development, including audio- and video-conferencing technologies. Additionally, Gentner retains ClearOne’s facilities in Woburn, Mass.
The final acquisition is subject to the execution of a definitive agreement, Gentner’s due diligence and approval by both companies’ boards of directors and ClearOne’s shareholders.
